3. Discuss briefly the secretarial duties relating to problem of shares.
4. Enumerate the duties of the company secretary regarding transfer of shares.
5. What is meant by meeting? define briefly the various classes of company meetings.
6. What is interim dividend? Under what circumstances it is declared?
7. Enumerate the duties of the company secretary with regard to appointment of directors in various circumstances.
8. What is a ‘defunct company’? When can a company be deemed to have ceased operation?

9. Discuss the role of company secretary in the emerging industrial scenario.
10. What do you mean by allotment of share? discuss the secretarial duties relating to allotment of shares.
11. State the procedure relating to registration of charges. discuss the consequences of non–registration of charges.
12. Outline the duties of a company secretary before, at and after the meeting of the Board of Directors.
13. What do you understand by ‘Dividend’? Briefly state the legal provisions regarding the payment of dividend.
14. When can a director be removed from office? State the procedure for the removal of a director.
15. Enumerate the secretarial duties in respect of voluntary winding up.
